Terms of Service and Acceptable Use Policy
1. Agreement to Terms
By accessing or using the OzLedger website, platform, or related services ("Services"), you agree to be bound by these Terms of Service and Acceptable Use Policy ("Terms"). If you do not agree to these Terms, you must not use the Services.
2. Eligibility and Authority
You must be at least 18 years old and legally capable of entering into binding agreements. If you use the Services on behalf of a company, trust, partnership, or other entity, you confirm that you are authorised to bind that entity to these Terms.
3. Nature of the Services
OzLedger provides digital tools and resources to support accounting, bookkeeping, and business administration activities. Unless expressly stated in writing, OzLedger does not provide financial, taxation, legal, audit, or assurance services.
4. User Responsibilities
You agree to provide accurate, complete, and current information when using the Services and to update such information as required. You must comply with all applicable laws and must not misuse, interfere with, or disrupt the Services.
5. No Professional Advice
Information, tools, and materials provided through the Services are general in nature and do not constitute professional advice. You should obtain independent accounting, taxation, legal, or financial advice before acting on any information provided through the Services.
6. Acceptable Use Requirements
You must use the Services responsibly and must not:
- Use the Services for unlawful, fraudulent, or misleading purposes.
- Upload, transmit, or store content that is defamatory, offensive, discriminatory, or otherwise inappropriate.
- Attempt to gain unauthorised access to the Services or related systems.
- Interfere with, disrupt, or compromise the security, integrity, or performance of the Services.
- Use automated tools, including bots or scrapers, without written permission.
- Upload or distribute viruses, malware, or harmful code.
- Infringe the intellectual property rights of others.
- Misrepresent your identity or the identity of any entity you represent.
7. Fees and Payment
Where paid features or subscription plans apply, fees are payable as displayed at the time of purchase. Fees are exclusive of GST unless stated otherwise. Payments are due immediately upon invoicing or at the commencement of the subscription period. OzLedger may update pricing from time to time by providing reasonable notice.
8. Intellectual Property
All intellectual property rights in the Services, including software, content, design, and trademarks, are owned by OzLedger or its licensors. You are granted a limited, non-exclusive, non-transferable licence to use the Services solely for your internal business purposes.
9. Confidentiality
OzLedger will take reasonable steps to maintain the confidentiality of information you provide, except where disclosure is required by law, necessary to provide the Services, or authorised by you.
10. Privacy
Personal information is handled in accordance with the Privacy Act 1988 (Cth) and the OzLedger Privacy Policy.
11. Third-Party Providers
OzLedger may use third-party service providers for hosting, data storage, analytics, and integrations. Your information may be shared with these providers only to the extent necessary for the operation of the Services.
12. Suspension and Termination
OzLedger may suspend or terminate your access to the Services immediately if you breach these Terms, pose a security or operational risk, or if required by law. You may stop using the Services at any time. Termination does not affect any rights or obligations that have already accrued.
13. Limitation of Liability
To the maximum extent permitted by law:
- OzLedger excludes all warranties, representations, and guarantees not expressly stated in these Terms.
- OzLedger is not liable for indirect, special, incidental, or consequential loss, including loss of profits, revenue, data, or business opportunities.
- OzLedger's total liability arising out of or in connection with the Services is limited to the amount paid by you for the Services in the 12 months preceding the event giving rise to the claim.
14. Amendments
OzLedger may amend these Terms from time to time. Continued use of the Services after amendments take effect constitutes acceptance of the updated Terms.
15. Governing Law
These Terms are governed by the laws of New South Wales, Australia. You submit to the non-exclusive jurisdiction of the courts of New South Wales.
16. Complaints and Dispute Resolution
If you have a concern or complaint regarding the Services, you must notify OzLedger in writing with reasonable detail. OzLedger will use reasonable efforts to resolve the matter promptly and professionally.
